1. Service
NovessaWorks ERP Sync (the “App”) synchronizes configured Odoo 19 contacts, CRM opportunities, projects and tasks with monday. V1 requires Odoo 19 with External API access enabled and a monday plan with integrations enabled.
2. Marketplace subscription
The App is intended to be distributed and monetized through the monday Marketplace. Once publicly available, trial, billing period, price, renewals, plan changes, cancellation and refunds will be handled through monday’s Marketplace billing framework and the terms shown at purchase.
3. Customer responsibilities
- Maintain eligible monday and Odoo environments.
- Create authorized, least-privilege Odoo API credentials.
- Ensure mapped boards, records and data may lawfully be processed.
- Keep credentials confidential and review mappings before enabling schedules.
- Review synchronization results and business outcomes.
4. Safe synchronization behavior
The App is designed to use deterministic synchronization identity, avoid duplicate creation where supported, restrict Odoo write-back to explicitly supported fields, re-check state before two-way writes, block stale double-change conflicts and avoid destructive record deletion propagation in V1.
5. Availability and changes
The App depends on monday, customer-configured Odoo systems, network connectivity and third-party APIs. The provider may update the App to maintain compatibility, security, reliability or Marketplace compliance.
6. Support
Support requests may be sent to [email protected]. The target for an initial response is within two business days. Resolution time depends on reproducibility, third-party availability and issue scope.
7. Acceptable use
Customers may not use the App unlawfully, bypass entitlement controls, use credentials they are not authorized to use, attack or disrupt the service, attempt access to another account’s data, or transmit malicious code.
8. Customer data and privacy
Processing of customer information is described in the Privacy Policy. Customers remain responsible for lawful purposes and permissions for data they configure for synchronization.
9. Security
The App uses controls including signed request verification, OAuth with PKCE, secure credential storage, HTTPS enforcement, input validation, write allowlists, conflict detection and secret-safe logging. No security control eliminates all risk; customers must protect and revoke compromised integration credentials.
10. Intellectual property
The App, its code, branding and documentation are owned by Francisco Lopez Mercado, operating under the NovessaWorks brand, or applicable licensors, excluding monday, Odoo and customer-owned data or content. No ownership in customer data is transferred to the provider.
11. Third-party services
monday and Odoo are independent third-party platforms. Their terms, APIs, availability and policies apply. The App is not represented as being owned, sponsored or endorsed by either platform.
12. Warranties
To the maximum extent permitted by applicable law, the App is provided on an “as is” and “as available” basis. The provider does not warrant uninterrupted or error-free operation, compatibility with every configuration, or that third-party services will remain available. Rights that cannot legally be waived remain unaffected.
13. Limitation of liability
To the maximum extent permitted by applicable law, the provider will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or business opportunity arising from use of the App. Aggregate liability for claims relating to the App will not exceed the amount paid for the App during the 12 months preceding the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited.
14. Termination and deletion
Customers may uninstall the App and, once Marketplace billing is active, manage subscriptions through monday Marketplace. Uninstall triggers the App’s account-data cleanup process.
15. Communications
The provider may contact customer-designated users or account contacts to respond to support requests, provide service, security, privacy or billing notices, deliver required onboarding or operational messages, and communicate material App or Terms changes. Installing the App is not treated as consent to unrelated promotional marketing.
16. Governing law
These Terms are governed by the applicable laws of Mexico. Subject to any mandatory law that provides otherwise, disputes will be submitted to the competent courts in the State of Mexico, Mexico.
